Listing agreement

Effective May 15, 2026

This agreement is accepted electronically when a seller submits a listing through the hitch.exchange platform. It is binding on both the seller and hitch.exchange.

1. Parties

This agreement is between the seller (the person submitting the listing, referred to as “Seller”) and hitch.exchange (“hitch.exchange”, “we”, or “us”), a Thousand Trails membership resale marketplace operated in Indiana. hitch.exchange provides listing, marketing, and transaction facilitation services — it does not act as the Seller's legal agent and does not owe the Seller fiduciary duties.

2. Exclusive listing arrangement

Seller grants hitch.exchange the exclusive right to market and facilitate the sale of the Thousand Trails membership interest described in the listing form (“the Membership”). This arrangement is exclusive during the listing period and for the tail period described in section 5.

Seller authorises hitch.exchange to:

  • Publish listing details on hitch.exchange and any affiliated marketing channels.
  • Receive buyer enquiries and communicate with prospective buyers on Seller's behalf.
  • Negotiate sale terms with buyers, subject to Seller's approval of the final price.
  • Liaise directly with Thousand Trails membership services to verify membership status, obtain transfer documentation, and coordinate the transfer process.

3. Listing period

The listing is active from the date of approval by hitch.exchange until the earlier of: (a) completion of a sale; (b) withdrawal by the Seller; or (c) removal by hitch.exchange for breach of this agreement or inaccurate listing information. There is no fixed expiry on the listing period. Either party may terminate with written notice.

4. Service fee

hitch.exchange's service fee is charged only on successful completion of a sale:

8.5% of the agreed sale price

Minimum: $149  ·  Maximum: $499

“Completion” means the date on which Thousand Trails confirms the membership transfer to the buyer. Payment of the service fee is required before the hitch.exchange will initiate or continue to coordinate the transfer process.

The service fee is payable by the Seller via a secure payment link issued by hitch.exchange following the buyer's payment clearing through Escrow.com. No fee is owed if the Membership does not sell.

5. Procuring cause and tail clause

The service fee is owed to hitch.exchange whenever hitch.exchange is the procuring cause of a sale. hitch.exchange is the procuring cause if hitch.exchange introduced the buyer to the listing — including through the platform, email, referral, or direct communication.

If the listing is removed and the Seller subsequently completes a sale to a buyer introduced by hitch.exchange, the service fee applies if the sale completes within 90 days of the listing removal date. Seller agrees to notify hitch.exchange of any such sale within that period.

6. Seller responsibilities

Seller represents, warrants, and agrees to:

  • Be the legal owner of the Membership or be duly authorised to sell it.
  • Ensure annual dues are current (or disclose any arrears at the time of listing).
  • Provide accurate information about all material contract terms, including booking windows, zone access, guest rights, transfer restrictions, and any external network affiliations (e.g. Coast to Coast, RPI).
  • Notify hitch.exchange promptly of any change in membership status, dues, or ownership.
  • Provide the membership number and authorise hitch.exchange to communicate with Thousand Trails membership services on Seller's behalf.
  • Cooperate with the transfer process and provide required documentation promptly.
  • Not market or negotiate the sale of the Membership through any other channel during the listing period without notifying hitch.exchange.

7. Price and contract review

The asking price submitted by the Seller is indicative. hitch.exchange will review the contract terms individually before the listing goes live and will discuss pricing with the Seller if the asking price appears materially inconsistent with market data for that contract type. The final listing price is always the Seller's choice.

8. Buyer payments

Buyer funds are held by Escrow.com, Inc. (a California-licensed escrow company) until Thousand Trails confirms the membership transfer. hitch.exchange does not hold buyer funds. hitch.exchange is not responsible for delays attributable to Escrow.com, Thousand Trails, or the buyer.

9. Tax reporting

hitch.exchange is required by law to issue a Form 1099-K to Sellers whose gross sales on the platform meet or exceed the federal reporting threshold ($600 per calendar year under the INFORM Consumers Act). Seller agrees to provide accurate tax identification information and understands that sale proceeds may be reported to the IRS.

10. Limitation of liability

hitch.exchange's liability to Seller in connection with this agreement is limited to the service fee actually received by hitch.exchange. hitch.exchange is not liable for the actions or decisions of Thousand Trails, Escrow.com, or the buyer, nor for any indirect or consequential loss.

11. Governing law

This agreement is governed by the laws of the State of Indiana. Disputes shall be resolved in the courts of Indiana.

12. Entire agreement

This agreement, together with the Terms of service and Privacy policy, constitutes the entire agreement between Seller and hitch.exchange. It supersedes any prior discussions or representations.

This agreement is accepted electronically when you check “I have read and agree to the listing agreement” on the listing submission form. The timestamp of that submission is our record of acceptance.
